I write F Reorganizations because F reorganizations are something I structure directly, not just something I read about. I represent buyers and sellers through acquisitions, structure the tax side of deals for other attorneys' clients, and handle the F reorgs, Section 338(h)(10)/336(e) elections, and QSBS planning that come with them.
Before practicing law, I worked in public accounting, first at a regional firm on middle-market M&A and tax controversy, then at a Big 4 firm. I hold a JD and an LLM in Taxation from Washington University in St. Louis School of Law.
